These Terms of Service (“Terms”) govern your access to and use of FindNext Corp. websites, communities, and current or future Services.
1. Acceptance of Terms
TrendGuard™ is operated by FindNext Corp (“FindNext,” “we,” “us”). By accessing our website, participating in our community or early access programs, or using any current or future TrendGuard services (collectively, “Services”), you agree to these Terms and our Privacy Policy.
Development Stage Notice
Some Services are in beta or development and may change. Certain provisions take effect upon general availability.
2. Services & Beta Programs
2.1 Scope
Our Services include the website, community activities, early access/beta features, and planned trust infrastructure (e.g., authenticity verification, agent trust APIs, fraud detection).
2.2 Beta/Early Access
- Provided “as is” for testing and feedback; may contain defects.
- Access can be limited, modified, or terminated at our discretion.
- Additional beta terms or NDAs may apply.
2.3 Agents & API Output
Where provided, AI or software agent outputs are probabilistic and may be incomplete or inaccurate. You are responsible for evaluating outputs and complying with applicable laws and platform rules.
3. Eligibility & Community
- You must be at least 18 (or the age of majority in your jurisdiction) and able to form a binding contract.
- Provide accurate information and keep it up to date.
- Participate professionally; do not disclose confidential information without permission.
4. Acceptable Use
4.1 Permitted Use
Use Services for lawful, legitimate purposes and in accordance with these Terms.
4.2 Prohibited Activities
- Illegal, infringing, harassing, deceptive, or harmful conduct.
- Unauthorized access, security testing, or interference with Services.
- Reverse engineering, scraping, or automated access without our consent.
- Misuse of agent/AI outputs or use that violates third-party terms.
- Reselling or redistributing non-public information, or competing trust infrastructure built from our confidential materials.
5. Feedback & Ownership
If you submit ideas, suggestions, or feedback (“Feedback”), you grant FindNext a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate the Feedback without restriction or compensation. You retain ownership of your content; we retain ownership of the Services and derivative works.
6. Privacy & Data
Our Privacy Policy explains how we collect and use personal data and includes a Cookies & Tracking section and consent tools. For enterprise relationships, a separate Data Processing Addendum (DPA) may apply.
7. Service Limitations & Third-Party Services
- Services may be unavailable, modified, or discontinued without liability.
- Third-party services (e.g., cloud, analytics, platforms) are subject to their own terms; we do not control their performance or availability.
- Any SLAs apply only if expressly agreed in writing at general availability.
Accuracy & Reliance
TrendGuard is assistive infrastructure. You remain responsible for decisions and compliance, including authenticity determinations and fraud controls.
8. Intellectual Property
FindNext owns the Services and all related IP, including software, models, designs, trademarks (e.g., “TrendGuard”), and documentation. No rights are granted except as expressly stated.
8.1 Limited License
Subject to these Terms, we grant a limited, revocable, non-transferable, non-sublicensable license to access and use public portions of the Services.
8.2 DMCA & Notices
If you believe content infringes your copyright or trademark, contact legal@findnextcorp.com with sufficient detail for us to review.
9. Disclaimers
AS-IS / AS-AVAILABLE
To the fullest extent permitted by law, the Services (including beta/early access and any agent/API outputs) are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied.
- No warranty of accuracy, non-infringement, merchantability, or fitness for a particular purpose.
- No guarantee that Services will be error-free, secure, or uninterrupted.
- No promise that timelines, roadmaps, or features will be delivered as initially described.
10. Limitation of Liability
CAP & EXCLUSIONS
To the fullest extent permitted by law, FindNext will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Our aggregate liability for all claims arising out of or related to the Services shall not exceed the greater of (a) amounts you paid to us for the Services in the 12 months prior to the event giving rise to the claim, or (b) USD $100 if no amounts were paid.
11. Indemnity
You will indemnify and hold harmless FindNext and its affiliates, officers, directors, employees, and agents from and against any claims, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services, violation of these Terms, or infringement of any third-party rights.
12. Termination
You may stop using the Services at any time. We may suspend or terminate access for any violation of these Terms, risk to the Services or users, or for legitimate business reasons. Upon termination, all licenses end, and sections that by their nature should survive will survive (including 5, 7–14).
13. Dispute Terms
13.1 Informal Resolution
Contact legal@findnextcorp.com to attempt informal resolution before filing a claim.
13.2 Governing Law & Venue
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-laws rules. Exclusive jurisdiction and venue lie in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
13.3 Class Action Waiver; Jury Trial Waiver
To the extent permitted by law, disputes must be brought on an individual basis and not as a class action. YOU AND FINDNEXT WAIVE ANY RIGHT TO A JURY TRIAL.
14. General
- Changes to Terms: We may update these Terms; material changes will be posted and effective upon posting unless otherwise stated.
- Severability: If any provision is unenforceable, the remaining provisions remain in effect.
- Assignment: You may not assign these Terms without our consent; we may assign as part of corporate transactions.
- Export Controls & Sanctions: You must comply with all applicable export control and sanctions laws; you represent that you are not on any restricted list.
- Entire Agreement: These Terms and the Privacy Policy are the entire agreement regarding the Services unless a signed agreement states otherwise.
- Notices: We may provide notices by posting on the site or via email.
